Terms and Conditions

These Terms and Conditions (“Agreement”) govern your use of services provided by The Operations Genius (“Company,” “we,” “our,” or “us”), founded by Joanna Zhang.

1. Services

The Company provides operational support services, including fractional virtual assistant (VA) services, systems implementation, business process optimization, and related consulting support.

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Communicate clearly and respond promptly to requests or inquiries
  • Respect agreed timelines, deliverables, and scope of work

3. Payments

  • Fees and payment terms will be outlined in the applicable service agreement, proposal, or invoice
  • Payments must be made by the due date specified
  • Late or unpaid invoices may result in suspension or termination of services

4. Scope of Work

Services are limited to the scope agreed upon in writing. Any additional work, revisions, or requests outside the agreed scope may require a revised agreement and/or additional fees.

5. Intellectual Property

Unless otherwise agreed in writing, all materials, templates, systems, workflows, documentation, and processes created by the Company remain the intellectual property of the Company.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, business, or sensitive information shared during the course of the engagement and not disclose such information without prior written consent, unless required by law.

7. Limitation of Liability

The Company is not liable for:

  • Business losses, loss of profits, or missed opportunities
  • Indirect, incidental, or consequential damages arising from the use of our services

8. Termination

Either party may terminate services by providing written notice in accordance with the terms outlined in the applicable service agreement.

9. Modifications

We reserve the right to modify or update these Terms and Conditions at any time. Updated versions will become effective upon posting on our website or otherwise notifying clients.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Australia.
